3. Services Overview

Simon Dispatch provides logistics coordination through:

Shipper and broker account creation
Driver account setup and load matching
Real-time tracking and communication
Payment facilitation (via third-party providers)

We act as a technology platform, not a carrier or broker.

4. User Conduct

You agree not to:

Use the Services for unlawful purposes
Impersonate another person or business
Interfere with the platform’s operation
Post false, misleading, or defamatory content
Violate local, state, or federal transportation laws

We may investigate and take appropriate legal action for violations.

5. Payments & Fees

Some services may require payment. You agree to:

Pay all applicable fees promptly
Allow us (or our third-party provider) to process payments
Cover any applicable taxes or transaction fees

All sales are final unless otherwise stated.

6. Mobile App Permissions

If using our mobile app, you agree to grant permissions such as:

Geolocation (for tracking loads and route optimization)
Push notifications
Access to camera or files (if needed for uploading documentation)

You may disable permissions in your device settings, but some features may not function properly.

7. Intellectual Property

All content, branding, code, and visuals on Simon Dispatch are owned by or licensed to us. You may not copy, modify, distribute, or create derivative works without prior written consent.

8. Disclaimers

Simon Dispatch is provided “as-is” and “as-available.” We make no guarantees that:

The app will be uninterrupted or error-free
Matches between shippers and drivers will always be available
Routes, ETAs, or pricing will be accurate

Use of the Services is at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law, Simon Dispatch shall not be liable for:

Indirect, incidental, or consequential damages
Lost profits or data
Personal injury, property damage, or business interruption arising from use of the Services

Our total liability shall not exceed $100 or the amount paid by you in the last 12 months.

10. Indemnification

You agree to indemnify and hold Simon Dispatch, its affiliates, and employees harmless from any claims, damages, or expenses (including attorneys’ fees) arising out of:

Your use of the Services
Your violation of these Terms
Your violation of any rights of a third party

11. Termination

We may suspend or terminate your account or access to the Services at any time, without notice, for violations of these Terms or other inappropriate conduct.

12. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of law principles. Any disputes will be resolved exclusively in courts located in Shelby County, Tennessee.

13. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of significant changes via email or in-app notifications. Continued use of the Services after updates means you accept the new Terms.
